Perhaps you think you do not need any formal written agreement for your international venture and sometimes you might be right. But you will always want to know what your rights and duties are. Because even if you did not sign anything, it does not mean that there is no contract in place and you can just walk away if things go awry. Actually, there is a big probability that a foreign law applies in your case and foreign courts will have presiding authority to make a decision. Then, you might find yourself in uncertain waters of what you are actually obliged to and what you are entitled to. You can easily mitigate these risk factors by having a written agreement in which you state the conditions under which a certain service will be rendered or goods distributed. You can also choose the applicable law and jurisdiction. A good contract does not have to be dozens of pages long, in fact, a contract that is too detailed and sophisticated might be difficult to orient in and could even cause misunderstandings. - agency contract that sets forth terms between a producer established in one country and an agent who promotes the sale of the goods in another country
